1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and thredly Ltd ("thredly", "we", "us", or "our"), a company registered in London, United Kingdom.

By accessing or using thredly.io (the "Service"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

Governing Law: These Terms are governed by the laws of England and Wales.

2. Service Description

thredly provides an AI-powered summarization service that processes conversation threads and generates structured summaries. The Service uses Google Gemini API for summarization.

No Warranty: We make no guarantees regarding the accuracy, completeness, or reliability of generated summaries. AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and verifying all outputs.

3. Eligibility and Account Registration

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

3.1 Age Requirement

You must be at least 16 years old to use this Service. By creating an account, you represent that you meet this age requirement.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

4. Subscription Plans and Billing

4.1 Available Plans

We offer the following subscription tiers:

• Free: 1 one-time summary on signup, up to 200k characters per summary, saved summary library
• Starter ($5.99/month): 50 summaries per month, up to 250k characters per summary, saved summary library
• Pro ($12.99/month): 120 summaries per month, up to 500k characters per summary, 7-day saved threads, export as .md & .txt
• Ultimate ($39.99/month): Unlimited summaries, up to 750k characters per summary, 30-day saved threads, export as .md & .txt, upgraded AI engine

4.2 Billing Terms

• Payment Processor: All payments are processed securely through Stripe
• Billing Cycle: Subscriptions are billed monthly on the date you subscribe
• Currency: Prices are in GBP, USD, or EUR based on your location
• Automatic Renewal: Subscriptions automatically renew unless cancelled
• Price Changes: We will notify you 30 days before any price increases

4.3 Credit System

• Credits are allocated monthly based on your subscription plan
• Credits reset on your billing date and do not roll over to the next month
• One summary generation consumes one credit (regardless of input length)
• Unused credits expire at the end of each billing period

4.4 Cancellation and Refunds

Cancellation: You may cancel your subscription at any time through your account settings or by contacting hello@thredly.io. Your access will continue until the end of your current billing period.

Refund Policy: We do not provide refunds for unused credits or partial billing periods. We will consider refunds on a case-by-case basis for billing errors, duplicate charges, or verified technical issues that prevented service access for extended periods. To request a refund, contact us at hello@thredly.io within 14 days of the charge.

4.5 Failed Payments

If a payment fails, we will attempt to charge your payment method up to 3 times. If all attempts fail, your subscription will be downgraded to the Free plan.

5. Acceptable Use Policy

You agree NOT to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Process or summarize illegal content, malicious code, or content that violates the privacy rights of others
• Attempt to reverse engineer, decompile, or hack the Service
• Use automated systems (bots, scrapers) to access the Service without permission
• Resell, redistribute, or sublicense access to the Service
• Abuse the credit system or circumvent usage limits
• Generate summaries for the purpose of training competing AI models

6. Content and Intellectual Property

6.1 Your Content

You retain all ownership rights to the input text you provide and the summaries generated by the Service. By using the Service, you grant us a limited license to process your input text through our AI systems, temporarily store input text while processing and generated summaries for the retention period shown for your plan, and use anonymized, aggregated usage data to improve the Service.

Input text is removed after processing completes, fails, or is cancelled. We do not use your content to train our own AI models.

6.2 Our Intellectual Property

The Service, including its design, code, branding, and functionality, is owned by thredly Ltd and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Service without explicit written permission.

7. Data Retention and Privacy

• Input Text: Stored only while processing and removed when the job completes, fails, or is cancelled
• Generated Summaries: Automatically deleted after 24 hours on Free, 7 days on Starter and Pro, and 30 days on Ultimate
• Manual Deletion: You may delete summaries at any time before their plan-specific expiry
• Account Data: Retained until you request account deletion

8. Service Availability and Modifications

We strive to provide reliable service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, third-party service disruptions (Supabase, Google API, etc.), or technical issues.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide 30 days’ notice for material changes affecting paid subscriptions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "AS IS" without warranties of any kind
• We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
• Our total liability to you for any claims shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for inaccuracies in AI-generated summaries or any decisions you make based on those summaries
• We are not responsible for third-party service failures (Stripe, Supabase, Google, etc.)
• Nothing in these Terms excludes or limits our liability for fraud, death, or personal injury caused by our negligence.

10. Indemnification

You agree to indemnify and hold harmless thredly Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, your violation of any rights of another party, or content you submit to the Service.

11. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date.

For significant changes, we will notify you via email at least 30 days in advance. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

13. Termination

You may terminate your account at any time by contacting hello@thredly.io. Upon termination, your data will be deleted in accordance with our Privacy Policy.

We may suspend or terminate your account immediately without notice if you violate these Terms, use your account for fraudulent or illegal activity, or if required by law. Upon termination, you lose access to the Service and all stored summaries are permanently deleted.

14. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and thredly Ltd regarding the Service. If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any provision does not constitute a waiver. You may not assign these Terms without our written consent. We are not liable for any failure to perform due to circumstances beyond our reasonable control.
